Does not create a client relationship
Does not obligate Tech Sage to provide services
Does not guarantee pricing, availability, or outcomes
We reserve the right to accept or decline any engagement at our discretion.
3. No Guarantee of Results
While we strive to deliver high-quality solutions, technology outcomes are not guaranteed. Results may vary due to:
Third-party platforms or vendors
Existing system limitations
Client-provided information or access
Changes in technology, security threats, or regulations
Tech Sage makes no warranties, express or implied, regarding specific business results, revenue increases, security outcomes, or performance improvements.
4. Client Responsibilities
Clients are responsible for:
Providing accurate and complete information
Maintaining valid licenses, subscriptions, and access credentials
Following recommended security practices
Maintaining backups unless otherwise contracted
Failure to do so may limit our ability to provide services effectively.
5. AI & Automation Disclaimer
AI-driven tools and automations may:
Produce unexpected outputs
Rely on third-party APIs or platforms
Be affected by changes outside our control
You acknowledge that AI systems require human oversight and that Tech Sage is not responsible for decisions made solely based on automated outputs.
6. Third-Party Services
Our services may integrate with third-party platforms (e.g., Microsoft, cloud providers, automation tools). Tech Sage is not responsible for outages, data loss, pricing changes, or policy changes imposed by third parties.
Use of third-party services is governed by their respective terms.
7. Payment & Fees
Fees, billing terms, and payment schedules will be defined in a written agreement or proposal. Late or unpaid balances may result in service suspension or termination.
All fees are non-refundable unless explicitly stated otherwise in writing.
8. Limitation of Liability
To the fullest extent permitted by law:

9. Confidentiality
We will treat non-public client information as confidential and will not disclose it except:

As required by law
With client consent
Clients are responsible for protecting their own confidential credentials and access.
10. Termination
Either party may terminate services in accordance with the applicable service agreement. Upon termination:
Access to systems may be revoked
Outstanding balances remain due
No obligation exists to continue support
11. Intellectual Property
Unless otherwise agreed:
Client retains ownership of their data
Tech Sage retains ownership of proprietary methods, templates, scripts, and automation frameworks
No transfer of intellectual property is implied without written agreement
12. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to conflict-of-law principles.
13. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services constitutes acceptance of the revised Terms.
